Simply Charly cannot agree to hold your idea in confidence because it may be helpful to disclose the idea to others for evaluation and because agreements to hold in confidence have been found to entail other obligations which Simply Charly cannot accept. It is understood between us therefore that no confidential relationship is entered into by reason of the fact that Simply Charly is considering your submission.

2. Any submission is made on the understanding that Simply Charly shall give it such consideration as it merits in the sole judgment of Simply Charly. Simply Charly assumes no obligation to evaluate or pursue your idea and is under no obligation to reveal to you any information of Simply Charly or to return any submitted materials to you.

3. Simply Charly is considering your submission upon your request and with your assurance that to the best of your knowledge you are the sole originator of the new idea, that you own it, and that you have the legal right to submit it to Simply Charly and to allow Simply Charly to use it.

4. You agree that Simply Charly may, if it so desires, use your idea in connection with any Simply Charly product or service throughout the world and for an indefinite period. No agreement for compensation is implied by, and no consideration will be owed to you on account of review or use of your idea by Simply Charly. You agree that Simply Charly shall own any product or service it may develop based upon your idea and that it may use, modify, reproduce and make derivative works of your idea or suggestion in any way it deems appropriate. You agree you will not make any claim whatsoever against Simply Charly for any use of your idea.
